1. Acceptance of Terms

By accessing or using Specta Insight’s services (“Services”), you agree to comply with and be bound by these Terms & Conditions (“Terms”). If you do not agree, you may not use our Services.

2. Services Provided

Specta Insight provides AI-powered business solutions, including but not limited to AI integration, data intelligence, workflow automation, and custom AI development for B2B clients.

We reserve the right to modify, enhance, or discontinue any Service at our discretion.

3. Client Responsibilities

Provide accurate, lawful, and complete information when engaging our Services.
Maintain the security of accounts, systems, and data shared with Specta Insight.
Not use our Services for unlawful purposes or in ways that violate applicable U.S. federal or California state regulations.

4. Intellectual Property

All technology, software, models, and content developed or provided by Specta Insight are the sole and exclusive property of AW Assets & Holdings, including all associated intellectual property rights.
Clients retain ownership of their own data but grant Specta Insight a license to process and use it strictly for the purpose of delivering Services.
No license or right is granted to clients other than the limited, non-transferable right to use the Services in accordance with these Terms.

5. Confidentiality & Data Protection

Specta Insight will handle client data with strict confidentiality and in compliance with applicable data protection laws, including the California Consumer Privacy Act (CCPA) where applicable.
While we employ industry-standard security, clients acknowledge that no system is 100% secure and agree that Specta Insight is not liable for breaches beyond our reasonable control.

6. Payment Terms

All fees and payment schedules will be outlined in individual service agreements or contracts.
Failure to pay may result in suspension or termination of Services.

7. Limitations of Liability

Services are provided “as is” without warranties of any kind, express or implied.
To the maximum extent permitted under California law, Specta Insight and AW Assets & Holdings are not liable for indirect, incidental, or consequential damages arising from the use of our Services.

8. Termination

Either party may terminate the agreement with written notice in accordance with the applicable service contract.
Upon termination, client access to Services will be revoked, and outstanding fees must be paid.

9. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the State of California, without regard to its conflict of law principles.
Any disputes shall be resolved in the courts located in Orange County, California.

10. Changes to Terms

Specta Insight reserves the right to update these Terms at any time. Clients will be notified of material changes, and continued use of Services constitutes acceptance of the updated Terms.
